Effective October 24, 2025. These Terms & Conditions outline your rights and obligations when using the Suggestly platform. Please read them carefully before accessing or continuing to use the service.

Acceptance of Terms

  • These Terms & Conditions govern access to the Suggestly platform, including related mobile, web, and API services.
  • By creating an account or using Suggestly, you agree to these terms on behalf of yourself or the organization you represent.

Accounts & Responsibilities

  • You are responsible for maintaining accurate account information, safeguarding login credentials, and notifying us of unauthorized use.
  • Workspace owners control user invitations, role assignments, and content moderation within their Suggestly environments.

Permitted Use

  • Suggestly is provided for lawful business use. You may not reverse engineer, resell, or exploit the service outside the scope of your subscription.
  • You agree not to upload content that violates intellectual property rights, contains malicious code, or infringes applicable laws or regulations.

User Content

  • You retain ownership of content submitted to Suggestly. By submitting content, you grant Suggestly a limited license to host, process, and display it as necessary to provide the service.
  • We may remove content that violates these terms or applicable policies, and we may suspend accounts that repeatedly breach our guidelines.

Service Availability

  • We strive for high availability but do not guarantee uninterrupted access. Planned maintenance and emergency outages may occur.
  • We may modify, discontinue, or sunset features with reasonable notice when feasible. Material changes will be communicated through product updates or email.

Fees & Billing

  • Paid subscriptions renew automatically unless canceled in accordance with the billing terms presented at purchase.
  • Refund requests are evaluated case by case in line with applicable consumer protection laws and our refund policy.

Termination

  • You may terminate your subscription at any time through account settings or by contacting billing@suggestly.ai.
  • We may suspend or terminate access for violations of these terms, non-payment, or misuse of the platform.

Disclaimers & Liability

  • Suggestly and its services are provided "as is" without warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • To the fullest extent permitted by law, Suggestly's aggregate liability arising under these terms will not exceed the fees paid in the twelve months preceding the event giving rise to the claim.

Governing Law

  • These terms are governed by the laws of the State of Delaware, USA, excluding conflict of law principles.
  • Any disputes will be resolved through binding arbitration in Delaware, unless prohibited by applicable law.

Updates to Terms

  • We may update these terms to reflect regulatory, security, or product changes. Updated terms become effective upon posting.
  • If a material change occurs, we will provide notice through email or in-app messaging. Continued use after changes constitutes acceptance.
